What's included

Entity formation
The fund, GP, and management entities, formed with EINs — Delaware as the baseline, with optionality for other states — plus property-holding entity structuring.
Governance documents
Limited partnership / operating agreement with your fees, promote, and distribution waterfall; the investment management agreement.
Investor-facing documents
Private Placement Memorandum, subscription and investor-certification documents, privacy policy, and funding instructions.
Securities compliance
Reg D framework, the 3(c)(1) vs. 3(c)(7) analysis, Form D filing, and blue-sky notice filings.
Marketing-materials review
Review of your pitch deck, website, and marketing materials for securities-compliance — included.
Good to know: For foreign capital, FIRPTA and blocker structuring may add scope — we'll discuss it up front. Third-party costs (state filing fees, administrator, audit, tax) are not included in the flat fee.

We form the entities and obtain EINs, draft your documents (you review drafts in your portal as they progress), then finalize and make the filings — Form D and the applicable compliance filings — so you're ready to raise.
