Deploying into deals: every deal, papered

Once the fund is raised, every investment it makes is legal work. Here is what capital deployment involves — and how outside deal counsel keeps it moving.

Here is the part many managers do not budget for: once the fund is raised, every investment it makes is legal work. The deal documents, the entities, the closings — that is the fund actually doing its job, and it is ongoing. This is where strategy turns into transactions.

In short

A raised fund deploys capital deal by deal. Each deal — a startup round, an acquisition, a property — needs documents and closing work. We handle the deal side so you can keep investing.

What deployment looks like by strategy

  • Venture / startup investments — SAFEs, convertible notes, priced equity rounds, term sheets, and co-investment documents.
  • Private equity / M&A — letters of intent, purchase agreements, acquisition-vehicle structuring, diligence, and closings (including roll-up platforms and add-ons).
  • Real estate — purchase agreements, holding-entity structuring, and closing coordination with title, escrow, and lenders.

Outside deal counsel, on retainer

Active funds do deals on a cadence. Rather than start from scratch each time, we build deal templates tuned to your strategy and work on a monthly retainer — predictable pricing and fast turnaround, so legal never becomes the bottleneck between you and a deal.

Common questions

Do you handle the individual deals, or just the fund?

Both. Forming the fund is the start; we also paper the investments the fund makes — per deal or on a retainer for active funds.

What is FIRPTA and when does it come up?

FIRPTA governs how foreign investors are taxed on U.S. real estate. For real estate funds with foreign capital, it is structured for at formation and managed at each deal. See Structure.

Can you work alongside our existing counsel?

Yes. We often serve as specialist fund and deal counsel alongside a client's general corporate lawyers.
